Ø Led financial and strategic negotiations in acquisition from Fortune 100 firm of the largest, integrated coffee production facility in North America (and, arguably, worldwide). Transaction included acquired assets with book investment over $300MM, 900,000sf+ of structures, 350 FTEs and a long term supply contract at over $500MM in revenue.
o Later, in 2012/2014, led negotiations and transaction activities for selling a controlling portion of the company to strategic partner organization, which later acquired full ownership.
Ø In consulting role, advised owner of manufacturing firm of waste water treatment systems in evaluation of purchase offer from European operating company. Developed valuation models and analyzed offer from Buyer. $25MM offer was rejected by client.
Ø Represented, advised and negotiated on behalf of client firm with $20 million annual revenues in acquisition by international, NASDAQ-traded firm in the staffing industry. – Final deal done at double initial offer.
Ø Leader in acquisition of electronics manufacturing plant acquired from major defense contractor, saving over 100 jobs and securing long term contracts from Seller.
Ø Represented $1.4 billion international technology hardware firm in senior M&A due-diligence role, providing comprehensive review and analysis of strategic acquisition targets nationwide. Targets’ revenues ranged $30MM-$50MM annually.
Ø Advised owner/Seller in sale of multi-family property to Rice University. Existing lender calculated pre-payment penalty at over $600,000, however, final penalty paid at $50,000 based on my technical (and correct) reading of the calculation formula and identification of nearest treasury maturity.
o Advised same client in acquisition of separate multi-million dollar multifamily purchase and financing; and then a later sale of same property.
Ø In a principle role, acquired boring and tunneling company in strategic service expansion/acquisition to fold into operations of civil construction company. Final deal structured as assets and debt assumption.
Ø Secured multiple financing transactions totaling in excess of $100 million for real estate, equipment, working capital and equity positions. Property sizes ranged from 20,000sf to over 1,000,000sf.
Ø Advised, and later became CFO, of group of companies which purchased the manufacturing plant assets of the former Uncle Ben’s Rice plant and production facility in Houston, Texas.
Ø Aquisition team onsite management representative in operations and diversification of defense electronics manufacturing facility.
Ø Worked on team in successfully securing $1 million line of credit for start-up wire manufacturing facility supplying major telecommunications industry leader.
Ø In the pre-Internet era, formulated global equity screening models in support of international research, quantitative analysis and management arms of leading global investment banks and money managers.
